These Terms of Use ("Terms") form a legally binding agreement between Tiplor Inc. ("Tiplor," "we," "us," or "our"), a corporation incorporated under the laws of the Province of Ontario, Canada, and you ("User," "you," or "your") — whether as an Artist, Venue, Fan, or general visitor — when you create an account or use the Tiplor website located at https://tiplor.com (the "Platform").
By registering an account or using the Platform to receive tips, display QR codes, list events, or engage in related activities, you agree to these Terms, our Privacy Policy (available at https://tiplor.com/privacy), and any additional guidelines we post. If you do not agree, do not create an account or use the Platform.
1. Eligibility
You must be at least the age of majority in your jurisdiction (18 years in most Canadian provinces) and capable of entering into binding contracts. If registering on behalf of a band, group, business, or venue, you represent that you have full authority to bind that entity.
2. Account Types and Representations
2.1. Artists
Artists include musicians, bands, solo performers, buskers, DJs, comedians, and other live entertainers. By registering as an Artist, you represent and warrant that:
- You (or your group) regularly create, perform, or share creative work — in person, live-streamed, recorded, or distributed via social platforms — and are the rightful recipient of tips intended to support that work, where tips are voluntary expressions of appreciation and not payment for specific goods, services, or deliverables;
- All content you upload (bio, photos, messages, profile links, etc.) is accurate, does not infringe third-party rights, and complies with applicable laws;
- You will only use tips for lawful purposes related to your artistic activities.
2.2. Venues
Venues include bars, clubs, restaurants, event spaces, lounges, festivals, and similar locations hosting live performances. By registering as a Venue, you represent and warrant that:
- You have authority to act on behalf of the venue and to display QR codes or promote tipping for performing artists;
- You will not misrepresent your relationship with any Artist or collect tips on behalf of an Artist without their explicit consent;
- Any events listed on the Tiplor calendar are accurate and you have the necessary permissions to host them.
3. Permitted Use of the Platform
You may use the Platform to:
- Create a public profile with bio, photos, social links, and a custom URL (e.g., tiplor.com/@yourname);
- Generate and display a unique QR code to receive tips from fans via Stripe;
- (Artists) Receive real-time tip notifications and manage payouts to your verified bank account;
- (Venues) List upcoming events on the public calendar, embed or display Artist QR codes, and support tipping during events;
- Promote your profile, events, or calendar listings via social media, flyers, or your website.
3.1. Prohibited Activities
You agree not to:
- Use Tiplor's payment checkout to process transactions for non-tipping purposes (e.g., merchandise, tickets, paid content access, or other goods and services). Linking to external merchandise or ticket pages from your profile is fine; Tiplor is the tipping rail, not the merchant;
- Solicit or accept tips under false pretenses, or in exchange for specific goods, services, or deliverables rather than as appreciation for your work;
- Harass, spam, impersonate others, or engage in fraudulent activity;
- Reverse-engineer, scrape, or interfere with the Platform's functionality or security;
- Violate any applicable laws, including anti-money laundering or tax obligations.
3.2. Stripe Compliance
You represent and warrant that your use of the Platform, including the nature of your performances and the purpose for which tips are collected, complies with Stripe's Prohibited and Restricted Businesses policy (available at https://stripe.com/legal/restricted-businesses). Any account that does not comply with Stripe's policies constitutes a material breach of these Terms and may be immediately suspended or terminated.
4. Payments, Fees and Payouts
Tips are processed by Stripe, our third-party payment processor.
- Service Fee: Tiplor charges a 15% fee on each successful tip (this includes Stripe's standard processing fees).
- Payouts: Net proceeds are paid to your verified Canadian (or supported international) bank account. You may choose automatic daily payouts or manual withdrawals, subject to minimum thresholds and banking fees.
You are solely responsible for reporting and paying all applicable taxes on tips received. Tiplor does not provide tax advice or withhold taxes.
Tips are generally final and non-refundable except where required by law or Stripe policy (e.g., chargebacks). You agree to cooperate with any dispute resolution.
5. Intellectual Property
You retain ownership of content you upload. By posting content, you grant Tiplor a worldwide, non-exclusive, royalty-free license to display, reproduce, and promote that content on the Platform and for marketing purposes. You warrant that you have all necessary rights to grant this license.
Tiplor owns all rights to the Platform, including its design, code, software, and trademarks.
6. Privacy and Data Protection
We handle personal information in accordance with our Privacy Policy and applicable Canadian privacy laws (including PIPEDA). By using the Platform, you consent to our collection, use, and disclosure of your data as described in the Privacy Policy.
7. Disclaimers and Limitation of Liability
The Platform and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee continuous availability, error-free operation, or any minimum tip volume.
To the maximum extent permitted by law, Tiplor's total liability shall not exceed the fees we received from your account in the 12 months preceding the claim. We are not liable for indirect, consequential, punitive, or incidental damages.
8. Indemnification
You agree to indemnify, defend, and hold harmless Tiplor, its officers, directors, employees, and agents from any claims, losses, or damages arising from your breach of these Terms, your User Content, or your use of the Platform.
9. Termination and Suspension
We may suspend or terminate your account at any time, with or without notice, for violations of these Terms (including Stripe policy violations), suspected fraud, chargeback abuse, or any other reason. Upon termination, your profile and QR code will become inactive, but accrued unpaid tips will be processed according to Stripe's rules (subject to any holds).
You may terminate your account at any time by contacting us.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts located in Toronto, Ontario.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email or through the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
12. Miscellaneous
- Severability: If any provision is held invalid, the remainder remains enforceable.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement.
- Force Majeure: We are not liable for delays caused by events beyond our reasonable control.
- Assignment: We may assign these Terms; you may not without our prior written consent.
